Introduction
Below you will find our General Terms and Conditions. These apply whenever you use or place an order through our Website. The General Terms and Conditions contain important information for you as a buyer. Therefore, please read them carefully. We also recommend saving or printing these terms so you can review them later.
1. Definitions
- 2Trade B.V.: Located in Sint Oedenrode and registered with the Chamber of Commerce under registration number 92757111, trading under the name Ibexo.
- Website: The website of 2Trade B.V., accessible via www.ibexo.eu and all associated subdomains.
- Customer: The natural or legal person with whom 2Trade B.V. enters into the Agreement, including parties negotiating with 2Trade B.V. about this, as well as their (authorized) representatives or agents, successors, and heirs.
- Agreement: Any agreement or contract between 2Trade B.V. and the Customer, of which the General Terms and Conditions are an integral part.
- General Terms and Conditions: These General Terms and Conditions.
2. Applicability of General Terms and Conditions
- The General Terms and Conditions apply to all offers, Agreements, and deliveries of 2Trade B.V., unless expressly agreed otherwise in writing.
- If the Customer includes provisions or conditions that deviate from, or do not appear in, the General Terms and Conditions in their order, confirmation, or communication containing acceptance, these are binding on 2Trade B.V. only if and insofar as they have been expressly accepted by 2Trade B.V. in writing.
- In the event that, in addition to these General Terms and Conditions, specific product or service conditions apply, the Customer can always rely on the applicable provision that is most favorable to them in case of conflicting conditions.
3. Prices and Information
- All prices listed on the Website and in other materials originating from 2Trade B.V. are exclusive of VAT and, unless otherwise stated on the Website, include other levies imposed by the government.
- Separate shipping costs may apply.
- The content of the Website has been compiled with the greatest care. However, 2Trade B.V. cannot guarantee that all information on the Website is accurate and complete at all times. All prices and other information on the Website and in other materials from 2Trade B.V. are therefore subject to obvious programming and typographical errors. It is the Customer's responsibility to check the product specifications necessary for the use of the product with the manufacturer.
4. Formation of the Agreement
- The Agreement is concluded when the Buyer places an order in the online store of 2Trade B.V. by completing the following steps:
- Selecting one or more Products from the online store of 2Trade B.V.
- Adding these Products to the shopping cart
- Converting the shopping cart into an order by clicking on the checkout button
- Entering customer details
- Selecting a payment method
- Accepting the General Terms and Conditions of 2Trade B.V.
- Placing the order by clicking on the complete order button after being able to review the entire order overview
- Receiving an order confirmation from 2Trade B.V. at the email address provided by the Buyer.
- The order confirmation is deemed to have been received by the Buyer one day after it is sent by 2Trade B.V. In case of non-receipt, the Buyer must report this to 2Trade B.V. in writing.
- The order confirmation sent by 2Trade B.V. contains the following information:
- The order number of the order
- A general description of the ordered Product
- The price of the ordered Product
- The quantity of ordered Products
- The total amount of the order, including any additional costs such as shipping and/or COD costs
- The personal details of the Buyer, such as name, billing address, delivery address, email address, and phone number
- The chosen payment method
- Contact details of 2Trade B.V.
- 2Trade B.V. reserves the right to refuse an order or request or to attach special conditions to the delivery.
5. Delivery
- 2Trade B.V. will take the utmost care when receiving and executing orders for products and when assessing applications for the provision of services.
- The place of delivery is the address that the Customer has made known to 2Trade B.V.
- Subject to what is stated in Article 4 of these General Terms and Conditions, 2Trade B.V. will execute accepted orders with due speed but at the latest within 30 days, unless a different delivery period has been agreed. If the delivery is delayed, or if an order cannot be executed or can only be partially executed, the Customer will be informed of this no later than 30 days after placing the order. In that case, the Customer has the right to dissolve the Agreement free of charge. The Customer is not entitled to any compensation.
- All delivery times are indicative. The Customer cannot derive any rights from any stated periods. Exceeding a term does not entitle the Customer to compensation.
- 2Trade B.V. advises the Customer to inspect the delivered products and report any defects within a reasonable time, preferably in writing. See further the Article on warranty and conformity.
- Once the products to be delivered have been delivered to the specified delivery address, the risk, concerning these products, passes to the Customer. If explicitly agreed otherwise, the risk passes to the Customer earlier. If the Customer decides to collect the products, the risk passes upon transfer of the products.
- 2Trade B.V. is entitled to deliver a similar product of similar quality as the ordered product if the ordered product is no longer available. The Customer is then entitled to dissolve the Agreement free of charge and return the product free of charge.
6. Returns
- A Product can only be returned after contacting 2Trade B.V. and receiving written confirmation from 2Trade B.V. that the Product can be returned. Returns without such written confirmation will not be processed.
- The Product to be returned must be returned in the original and undamaged packaging, along with the return form, to 2Trade B.V.
7. Payment
- The Customer must make payments to 2Trade B.V. according to the payment methods indicated in the order procedure and possibly on the Website. 2Trade B.V. is free to offer different payment methods and these can change from time to time. In the case of payment after delivery, the Customer has a payment term of 7 days, unless otherwise agreed in writing, starting the day after delivery.
- If the Customer does not meet their payment obligation(s) on time, they are, after being notified by 2Trade B.V. of the late payment and being given a period of 7 days to still fulfill their payment obligations, in default and owe the statutory interest on the amount still due. 2Trade B.V. is entitled to charge the extrajudicial collection costs incurred by it. These collection costs amount to a maximum of: 15% on outstanding amounts up to €2,500; 10% on the following €2,500; and 5% on the next €5,000 with a minimum of €40. 2Trade B.V. may deviate from the stated amounts and percentages in favor of the Customer.
8. Warranty and Conformity
- All Products offered in the 2Trade B.V. webshop come with the warranty provided by the manufacturer or importer.
- If the delivered product does not comply with the agreement, the Customer must notify 2Trade B.V. within 7 (seven) days after receipt.
- If 2Trade B.V. considers the complaint justified, the products will be returned in consultation with the Customer and 2Trade B.V. will, at the Customer's choice, provide a replacement or repair of the products. In case of replacement, the Customer is obliged to return the replaced product to 2Trade B.V. and transfer ownership to 2Trade B.V.
- If it is established that a complaint is unfounded, all costs incurred as a result will be borne by the Client.
- If the warranty period has expired, all costs for repair or replacement, including administration, shipping, and call-out charges, will be borne by the Customer.
9. Complaints Procedure
- If the Customer has a complaint about a product (in accordance with the article on warranty and conformity) and/or other aspects of the service provided by 2Trade B.V., they can submit a complaint to 2Trade B.V. by phone, email, or post. See the contact details at the bottom of the General Terms and Conditions.
- 2Trade B.V. will respond to the Customer's complaint as soon as possible, but in any case within 14 days of receipt of the complaint. If it is not yet possible to provide a substantive or final response, 2Trade B.V. will confirm receipt of the complaint within 14 days of receipt and give an indication of the period within which it expects to provide a substantive or final response to the complaint from the Customer.
10. Personal Data
- 2Trade B.V. processes the Customer's personal data in accordance with the privacy statement published on the Website.
11. Final Provisions
- The Agreement is governed by Dutch law.
- Unless otherwise required by mandatory law, all disputes arising from the Agreement will be submitted to the competent Dutch court in the district where 2Trade B.V. is located.
- If a provision of these General Terms and Conditions is found to be invalid, this does not affect the validity of the entire General Terms and Conditions. In that case, the parties will establish (a) new provision(s) as a replacement, reflecting the purpose and scope of the original provision(s) as much as possible.
- "Written" in these General Terms and Conditions also includes communication by email, provided the identity of the sender and the integrity of the email are sufficiently established.
